Our Terms & Conditions are designed to ensure clarity, fairness, and compliance with legal standards.

1. Welcome to IONI

These terms and conditions outline the rules and regulations for the use of IONI web application, located at https://app.ioni.ai/ (hereinafter referred to as “IONI”). By accessing this website, we assume you accept these terms and conditions. Do not continue to use ioni if you do not agree to all the terms and conditions stated on this page.

These Terms govern Your access to and use of the IONI demo environment and related website content. Use of the full Service is subject to a separately signed contract between IONI and each customer. Access to AI-powered features may be offered through free trials or paid subscriptions available directly through the platform. Subscriptions are billed via our payment provider Stripe. By subscribing, You agree to the billing terms and cancellation conditions described in these Terms.

The following terminology applies to these Terms and Conditions, Privacy Statement, and Disclaimer Notice and all Agreements: “Client”, “You”, and “Your” refer to you, the person logging on this website and compliant with the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our”, and “Us” refer to our Company. “Party”, “Parties”, or “Us” refers to both the Client and ourselves.

All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner for the express purpose of meeting the Client’s needs in respect of the provision of the Company’s stated services, in accordance with and subject to prevailing law. Any use of the above terminology or other words in the singular, plural, capitalization, and/or he/she or they are taken as interchangeable and therefore as referring to the same.

2. License

Unless otherwise stated, ioni does not own the intellectual property rights for all material uploaded by any user to the application. You must not:

- Republish material of any other user of ioni without his or her permission.
- Sell, rent, or sub-license material of any other user of ioni without his or her permission.
- Reproduce, duplicate or copy the material of any other user of ioni without his or her permission.
- Redistribute, copy, duplicate or sell content from ioni application: https://app.ioni.ai/ or landing page: https://ioni.ai/

This Agreement shall begin on the date hereof. Parts of this website offer an opportunity for users to post and exchange opinions and information in certain areas of the website.

2.1. Customer Data
All business data, documents, and content uploaded or submitted by the Customer (“Customer Data”) remain the sole property of the Customer. By providing Customer Data, the Customer grants IONI a limited, non-exclusive, revocable, worldwide license to host, process, and transmit such data solely for the purpose of delivering the Service.

IONI does not access, use, or disclose Customer Data for purposes unrelated to the Service, and does not use Customer Data to train or improve its AI models unless the Customer has provided explicit written consent. The Customer represents that it has all necessary rights and permissions to provide Customer Data to IONI.

Customer acknowledges that inputs provided to AI features may be processed by IONI’s systems and trusted third-party providers solely for the purpose of delivering the requested output. Such inputs and outputs are not used to train or improve AI models without the Customer’s explicit consent.

2.2 IONI Intellectual Property
The IONI platform, including the software, AI models, algorithms, design, and all related materials, is and remains the exclusive property of IONI. Except as expressly permitted in a signed agreement, Customers are not granted any rights, titles, or interests in IONI’s intellectual property.

Customers are granted a limited, non-transferable, non-exclusive license to use the platform only as necessary to receive the Service under these Terms and any signed agreement. Reverse engineering, copying, or creating derivative works of the platform or its components is strictly prohibited.

3. Acceptable Use Policy

When using the Service, You agree not to:
- Engage in any illegal activity or violate applicable laws or regulations.
- Upload, transmit, or distribute viruses, malware, or other harmful code.
- Send unsolicited messages, spam, or unauthorized advertising.
- Attempt to gain unauthorized access to the Service, reverse engineer, or misuse the platform.
- Upload or share Customer Data that You do not have the rights or permissions to provide.
- Use the Service in any way that exploits or harms minors or exposes them to inappropriate content.Interfere with or disrupt the security, integrity, or performance of the Service.
– Use AI features in ways that do not violate applicable law, infringe intellectual property rights, or generate harmful, discriminatory, or illegal content.

IONI reserves the right to suspend or terminate access if these rules are violated.

4. Customer Responsibilities

Customers are solely responsible for the content and business data they upload, submit, or process through the Service.

By providing Customer Data, the Customer represents and warrants that:
- They have all necessary rights, licenses, and permissions to provide such data to IONI.
- The data does not infringe, misappropriate, or violate any third-party intellectual property or other rights.
- The data does not violate applicable law, including data protection, privacy, and export control regulations.

IONI is not liable for Customer Data or for any claims arising from Customer’s use of the Service in violation of these responsibilities. Customers remain responsible for ensuring that their use of AI features is appropriate for their business context and for verifying the accuracy of AI-generated outputs before relying on them.

5. Suspension and Termination

IONI may suspend or terminate access to the Service, including demo accounts, without prior notice if:
- You violate these Terms, our Privacy Policy, or applicable laws and regulations;
- Your use of the Service poses a security risk, may cause harm to other users, or may create liability for IONI; or
- Fraudulent, abusive, or unlawful activity is detected.

Upon termination, Your right to use the Service will immediately cease. Customer Data associated with an active contract will be handled in accordance with the applicable agreement and our Privacy Policy. Demo-related data may be deleted without notice.

Free trial accounts may be suspended or terminated at the end of the trial period unless converted into a paid subscription. Any trial data may be deleted within 30 days following trial expiration, unless otherwise required by law or by a paid conversion.

6. Disclaimers and Limitation of Liability

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied. IONI does not guarantee that the Service will be error-free, uninterrupted, secure, or free of harmful components. AI-generated content and recommendations are provided for informational purposes only.

IONI makes no warranties as to the accuracy, completeness, or fitness of AI-generated outputs for a particular purpose, and Customers remain solely responsible for decisions made on the basis of such outputs.

To the maximum extent permitted by law, IONI shall not be liable for:
- any indirect, incidental, special, consequential, or punitive damages;
- loss of profits, revenue, data, or business opportunities;
- service interruptions, delays, or failures beyond our reasonable control (including internet outages, third-party infrastructure failures, or force majeure events).

Nothing in these Terms limits or excludes liability where such limitation or exclusion would be unlawful, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

7. Fraud Policy

The ioni team reserves the right to block and delete user accounts with or without explanation due to fraudulent activities, including but not limited to:
- Abusing the system by creating multiple accounts with fake credentials.
- Using fake or unauthorized credit cards.
- Sharing a single payment method across multiple accounts.
- Misuse of the free trial program, including repeated registrations or attempts to circumvent trial limits.

Fraudulent activity also leads to termination of access.

8. GDPR Compliance

8.1 Data Controller and Processor Roles
For demo requests, website interactions, and marketing communications, IONI acts as the data controller.
For business customers under a signed agreement, the customer remains the data controller of all Customer Business Data. IONI acts solely as a data processor, processing Customer Business Data only to provide and support the Service, in accordance with the signed agreement, these Terms, and our Privacy Policy.

8.2 Data Processing Agreement (DPA)
For customers located in the EEA, the United Kingdom, or Switzerland, IONI provides a Data Processing Agreement (“DPA”) that incorporates the European Commission’s Standard Contractual Clauses where applicable. A signed DPA is available upon request during the contracting process.

8.3 EU/UK Representative

8.4 User Rights
Individuals whose data is processed by IONI under GDPR have the following rights:
- Right of access – obtain a copy of personal data.Right to rectification – request corrections.
- Right to erasure – request deletion in certain circumstances.
- Right to data portability – request transfer to another provider.
- Right to restrict processing – request limited use of data.
- Right to object – object to processing based on legitimate interests.
- Right to lodge a complaint – file a complaint with a supervisory authority.

8.5 Data Transfers
Where personal data is transferred outside the EEA, UK, or Switzerland, IONI ensures appropriate safeguards are in place, such as Standard Contractual Clauses and the EU–US Data Privacy Framework.

8.6 Breach Notification
In the event of a personal data breach likely to result in a risk to the rights and freedoms of individuals, IONI will notify affected customers without undue delay and, where required, within 72 hours.

9. Subscriptions and Payments

Subscriptions: Certain features of the Service, including AI functionality, are offered under subscription plans. Subscription details, including pricing and renewal terms, are available at the point of purchase.

Free Trial: We may offer a free trial period for certain subscription plans. At the end of the trial, continued access requires payment. Trial data may be deleted if no subscription is purchased.

Billing: Payments are processed by Stripe, Inc. and its affiliates. We do not store complete payment card details on our systems. By providing payment information, You authorize Stripe to process payments in accordance with its Privacy Policy and Terms of Service.

Renewal and Cancellation: Subscriptions automatically renew unless canceled prior to the renewal date. You may cancel at any time through Your account settings. Upon cancellation, access continues until the end of the paid billing cycle.

Taxes: All fees are exclusive of applicable taxes, which will be added as required by law.
